Job Description:
JOB SUMMARY
The successful candidate will serve as a key member of the legal team of NY CREATES, FRMC and FSMC, led by the General Counsel of the corporations, with a primary focus on a wide range of corporate and business transactions, contracts, leases and other real estate transactions, equipment purchases, complex interagency relationships and other corporate matters.
Job responsibilities include but are not limited to:
- Provide legal advice, draft and negotiate agreements and other documents required to implement corporate initiatives, and assess and make recommendations on various compliance and policy matters.
- Advise the General Counsel, senior management and other stakeholders on a variety of legal matters that arise in the day-to-day operations of the three not-for-profit corporations, and as needed, work with external counsel on specific projects.
- Assist with matters pertaining to corporate governance including Board of Directors management such as preparation of meeting agendas and materials, recording of actions, maintenance of corporate records, and implementation of items approved by the Board of Directors and Committees.
- The Senior Associate Counsel will assist in managing and responding to NY Freedom of Information Law ("FOIL") requests received by the corporations, including analyzing requests, gathering records, consulting with internal and external counsel, obtaining all necessary approvals and responding to requests.
- Other reasonable duties as directed by or through the General Counsel.
Requirements:
MINIMUM REQUIREMENTS
- J.D. degree from a college or University accredited by the US Department of Education or internationally recognized accrediting organization and admission to the New York State Bar.
- Not less than 5 years of experience in the practice of law on corporate and business transactions, including real property transactional matters, at a law firm, in corporate practice as in-house counsel or with a state or federal agency.
- Ability to multi-task, take initiative and prioritize in a fast-paced environment and to work independently and as part of an integrated collaborative team.
- Candidate must be highly organized, detail oriented and possess strong computer, verbal and written communication skills.
- Ability to actively engage, consult with and advise employees and management at all levels within the organizations, and to apply business judgement to legal matters.
- This position is contingent on the satisfactory completion of a background check; this position may require annual background checks.
PREFERRED REQUIREMENTS
Knowledge of (i) New York Not-for-Profit Corporation Law, (ii) New York FOIL, and (iii)
corporate governance is desirable.

Salary Range: Associate Counsel- $138,000- $175,000
